CR 06/2023 Registration of an Amendment to the Articles of Association

The Management Board of LPP SA (further referred to as the ”Issuer”) informs that, on 22 May 2023, it obtained the information on the entry made in the Register of Entrepreneurs by the District Court for Gdańsk-North in Gdańsk, 7^th Economic Division of the National Court Register, incorporating information on the amendment to the Issuer’s Articles of Association and the increase of the share capital resulting from the issuance of shares as part of the authorised capital. The Management Board informed on the adoption of a relevant resolution in current report no 04/2023 of 8 May 2023.

Detailed information is given below:

1. date of registration of the amendment to the Articles of Association – 22 May 2023,
2. value and structure of the share capital, the nominal value of shares – following the issuance of 949 ordinary bearer shares of the M series of the nominal value of PLN 2 per share, the value of the Issuer’s share capital amounts to PLN 3,710,380 and is divided into 350,000 registered preferred shares and 1,505,190 ordinary bearer shares, of the nominal value of PLN 2 per share,
3. total number of votes attached to all the shares issued – 3,255,190 votes at the general meeting (including 949 votes attached to the newly issued shares),
4. value of the authorised capital to be subscribed to – PLN 5,374,
5. wording of the amended or new provisions of the Articles of Association – following the increase of the share capital as part of the authorised capital and the issuance of 949 shares of the M series, the following amendments have been made:

• paragraph 5 subparagraph 1 of the Articles of Association has been amended to read as follows:

”The Company’s share capital shall amount to PLN 3,710,380 (three million seven hundred ten thousand three hundred and eighty Polish zlotys) and shall be divided into: 350,000 (three hundred fifty thousand) registered shares and 1,505,190 (one million five hundred five thousand one hundred and ninety) bearer shares, on the nominal value of PLN 2.00 (two Polish zlotys) per share.”

• paragraph 5 subparagraph 2 item 13 of the Articles of Association has been amended to read as follows:

”In the Company … the shares issued were 2,767 (two thousand seven hundred and sixty seven) shares of the M series of the nominal value of PLN 2.00 (two Polish zlotys) per share.”
