Notification of a change in the total number of votes

The Management Board of LPP SA (further referred to as Issuer, Company) informs that, on 20 November 2020, the Company has received the following notifications made under Article 69 of the Public Offering Act from:

• the Sky Foundation on the decrease of the share in the total number of votes in the Company due to the transfer of shares in the Sky Foundation’s subsidiary i.e. SKY SPV Limited, holding 175,000 B-series registered shares in the Company, preferred in terms of votes in the Company (“Shares 1”) and giving right to 875,000 votes at the General Meeting, to the Semper Simul Foundation;
• the Semper Simul Foundation on reaching a relevant share in the total number of votes in the Company due to:

1. the indirect acquisition of Shares 1;
2. the indirect acquisition of 252,200 ordinary dematerialised shares in the Company (“Shares 2”).

Following the above-mentioned transactions involving the indirect acquisition of Shares 1 and Shares 2:

• the Semper Simul Foundations holds, directly and indirectly, 746,488 shares in LPP SA, constituting 40.30% of the share capital of LPP SA and giving right to 2,146,488 votes, which constitutes 65.997% of the total number of votes at the General Meeting;
• the Sky Foundation holds 51,338 ordinary bearer shares in LPP SA, constituting 2.77% of the share capital of LPP SA and giving right to 51,338 votes at the General Meeting, which constitutes 1.58% of the total number of votes at the General Meeting.

The following notifications are enclosed by the Company hereto:

– notification from the Sky Foundation on the decrease of the share in the total number of votes;

– notification from the Semper Simul Foundation on reaching a relevant share in the total number of votes in the Company.
